Terms of Service

1. Acceptance of terms

These Terms constitute a legally binding agreement between you and Janitorly Inc. ("Janitorly"). By accessing or using the Services you confirm you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

2. Description of services

Janitorly provides a cloud-based field service management platform for commercial cleaning businesses, including job scheduling, work order management, invoicing, client portal, expense management, team management, AI reporting, and integrations with QuickBooks, Xero, Stripe, Square, Zapier, CompanyCam, Twilio, and others.

3. Eligibility

You must be at least 18 years of age, have the legal capacity to enter a binding contract in your jurisdiction, and be using the Services for lawful business purposes. You must not be subject to US government sanctions or export controls.

4. Account registration & security

You agree to provide accurate information, keep credentials confidential, and notify us immediately at hello@janitorly.com of any suspected unauthorised access. You are responsible for all activity under your account.

5. Subscriptions, billing & cancellation

5.1 Free trial

New accounts receive a 14-day free trial with full Growth plan access. No credit card is required. Trial data is retained for 90 days after expiry before deletion.

5.2 Payment terms

• Subscriptions are billed monthly or annually in advance.
• All fees are in US dollars. Failed payments may result in suspension after a 7-day grace period.
• Annual subscriptions are non-refundable after 30 days from billing, except where required by law.

5.3 Cancellation

You may cancel at any time from account settings. Access continues until the end of the current billing period. Data is retained for 90 days post-cancellation, then permanently deleted.

6. Acceptable use

You agree not to use the Services for any illegal purpose; attempt unauthorised access; reverse engineer any component; scrape data without consent; resell the Services without written authorisation; upload malware; send spam; or violate third-party rights. Violations may result in immediate termination without refund.

7. Your data

You retain full ownership of all data you enter into the Services. You grant Janitorly a limited licence to store and process that data solely to provide the Services. We act as a data processor on your behalf for personal data of your clients and employees.

8. Intellectual property

The Services, including all software, algorithms, and documentation created by Janitorly, are our exclusive intellectual property protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, revocable licence to use the Services for internal business purposes during your subscription.

9. Third-party integrations

Your use of integrations (QuickBooks, Xero, Stripe, Square, Zapier, CompanyCam, Twilio, etc.) is subject to those third parties' own terms. We are not responsible for third-party service availability or content. You may revoke integrations at any time.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANITORLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANITORLY'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Janitorly and its officers, employees, and agents from claims arising out of your violation of these Terms, your use of the Services, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account immediately if you materially breach these Terms, violate acceptable use provisions, fail to pay for more than 30 days, or if required by law. Sections 7, 8, 10, 11, 12, and 14 survive termination.

14. Dispute resolution

Governing law: These Terms are governed by the laws of the State of Illinois. Arbitration: Disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules in Chicago, Illinois. Class action waiver: Claims must be brought individually, not as a class. Either party may seek injunctive relief in any court for IP infringement.

15. General provisions

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement.
• Modifications: We may update these Terms with 30 days' notice. Continued use constitutes acceptance.
• Severability: If any provision is unenforceable, the remainder stays in full force.
• Assignment: You may not assign these Terms without our written consent.
• Notices: Legal notices to Janitorly must be sent to 123 Michigan Avenue, Suite 800, Chicago, IL 60601 or hello@janitorly.com.
